1. Acceptance of terms
By accessing penstar.ai or related Penstar marketing sites (the “Site”), or by submitting inquiries, demo requests, or download forms, you agree to these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Site.
If you use the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. About Penstar and the Site
Penstar Innovation Inc. (“Penstar,” “we,” “us”) provides enterprise digital paper devices, cloud software, and related services. The Site is primarily a business marketing and information resource. Product specifications, pricing, availability, and timelines shown on the Site are informational and may change without notice unless confirmed in a written quote, order, or contract.
3. Eligibility and acceptable use
You may use the Site only for lawful business purposes and in accordance with these Terms. You agree not to:
- Attempt to gain unauthorized access to systems, accounts, or data; probe or stress-test infrastructure without written authorization; or interfere with Site operation.
- Scrape, harvest, or bulk-collect content or contact information beyond ordinary browser use, except as allowed by robots rules or a prior written agreement.
- Upload malware, submit fraudulent inquiries, or misrepresent your identity or affiliation.
- Use the Site in violation of export controls, sanctions, or other applicable law.
4. Inquiries, demos, and quotes
Submitting a form (demo, quote, newsletter, resource download, or similar) does not create a binding purchase obligation. Responses from Penstar are not binding offers unless expressly stated in a formal quotation or order document signed or accepted under Penstar’s standard commercial process.
Volume pricing, Net payment terms, service levels, and deployment support are subject to qualification and a separate agreement with Penstar or an authorized partner.
5. Accounts and customer portals
Where the Site or linked services provide customer accounts (for example, B2B catalogs or company portals), you are responsible for safeguarding credentials and for activity under your account. Notify us promptly of suspected unauthorized access. We may suspend access that we reasonably believe is compromised or abusive.
6. Products, services, and separate agreements
Hardware purchases, software subscriptions, professional services, cloud hosting options, and support commitments are governed by the applicable master agreement, order form, evaluation agreement, or partner terms—not solely by these website Terms.
If there is a conflict between these Terms and a signed commercial agreement covering a specific offering, the commercial agreement controls for that offering.
7. Intellectual property
The Site and its content—including text, graphics, logos, product names, UI mockups, documentation extracts, and trademarks—are owned by Penstar or its licensors and protected by intellectual property laws. You may view and download materials made available for legitimate business evaluation, provided you do not remove proprietary notices or use materials to create competing products or mislead others about affiliation with Penstar.
No license is granted except the limited right to use the Site as described in these Terms.
8. Third-party links and services
The Site may link to third-party websites or services (for example, documentation, chat, or analytics). Penstar does not control and is not responsible for third-party content, privacy practices, or availability. Your use of third-party services is at your own risk and may be subject to their terms.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENSTAR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Marketing descriptions of security, compliance, or ROI are general and may depend on customer configuration, environment, and controls. Formal security commitments appear only in applicable product documentation and contracts.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENSTAR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PENSTAR’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
11. Indemnity
You agree to defend, indemnify, and hold harmless Penstar and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights, to the extent permitted by law.
12. Export and sanctions
You represent that you are not prohibited from receiving Penstar products or information under applicable export control or sanctions laws, and that you will not use the Site to facilitate unlawful exports or sanctioned transactions.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless a mandatory consumer or local law requires otherwise for your jurisdiction. Courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Site, except that Penstar may seek injunctive relief in any forum for misuse of intellectual property or the Site.
Enterprise contracts may specify different governing law and dispute resolution procedures.
14. Changes
We may modify these Terms by posting an updated version on this page and revising the “Last updated” date. Material changes may also be communicated by other reasonable means. Continued use of the Site after changes become effective constitutes acceptance of the updated Terms, except where prohibited by law.
